Excellent Care Ltd will supply senior care assistants, care assistants, RGNs, chefs and domestic staff from
the day on which the contract is executed. On return Service user will pay the hourly rate as agreed by both
These are the terms of business by which you accept the services of the Excellent Care Ltd the employment
agency. These terms of business are deemed to be accepted by the client by virtue of an engagement and
signing of the staff’s time sheet from Excellent Care Ltd
In return for the payment by the service user, Excellent Care Ltd will provide you with staff at such times
and for such periods as you may reasonably require. The staff will carry out any required duties with in the
role to which they are assigned. The staff which we provide you will be under your direction at all times.
All charges are calculated by references to Excellent Care Ltd depending up on the number of hours
worked by the member of staffs and are subject to review from time to time with notification and mutual
agreement. All charges must be paid to Excellent Care Ltd directly. The agency shall be responsible for
paying the staff and making appropriate deduction for Tax, National Insurance as required by law. Any pre
booked shifts for RGN can be cancelled with a notice period of 12hrs and Carers with a notice period of 24
hrs. Any cancellations in less than the above mentioned notice period would be invoiced at 50% of the
actual rates which the client is liable to pay.
You shall make all payments to Excellent Care Ltd, against the invoices, which will be sent out to you on a
monthly basis and needs to be cleared within 18 days from the date of the invoice. If the invoice amount is
not cleared within 18 days, the client would have to pay 4% interest on the invoice amount which is due.
Any disputes relating to the invoices must be raised within 7 days. All charges must be paid to Excellent
Care Ltd directly. The rates for various staff provided by Excellent Care Ltd would be based on
standard rates fixed by the company from time to time. If in case your concern is provided with
separate revised or discounted rates, it is the responsibility of the service user to ensure that you sign
the rates advised and send it back to Excellent Care Ltd. The rates may vary from time to time and
shall be fixed by direct negotiations according to the changes in government policies and other
circumstances. Any changes in the rates will be notified in writing with a minimum one week notice and if
the new rates are not acceptable this contract will be deemed void and cancelled with no recourse by either
party on the other. If the changes in rates are agreed by both parties, the previous contract will be deemed
void. All payments are to be made by BACS or cheques which are payable to Excellent Care Ltd. If by any
chance the service user decides to stop using Excellent Care Ltd then any outstanding invoices must be
cleared within 7 days.
E) Time Sheet
All time sheets must be counter signed. Payment will be due on counter signed time sheets or based on
official confirmation of shifts. However, it is the responsibility of the staff member to ensure time sheets
are correctly completed and counter signed. The time sheet acts as a record for the number of hours worked
upon which the charge to you is based. If there are any queries with respect to the timesheets by either
party, it must be raised within seven working days from the day recorded on the time sheet concerned

It is the duty of the service user to give necessary trainings and induction to the staff and also to familiarise
them with the work routine and surroundings in order to enable the staff perform well. Although the staffs
supplied by the agency has completed mandatory trainings and are qualified to perform their duties
properly, we encourage the service user to give any necessary training to suit your organisational
requirements. It is the responsibility of the service user to make the agency staff aware of the care plans
and other policy and procedures of the service user while the agency staffs are covering a shift.
H) Indirect Introductions
The client will be liable to pay an introduction fee of 12% of the annual income as per the agency rate if the
client or a member of the client’s staff refers a person to any other body, and that person or body engages
that candidate in any capacity whether temporary, permanent or self employed within 12 months of the
date of introduction of the candidate to the client. The introduction fee is also applicable to a period of up
to 12 months from the date of resignation of the candidate from Excellent Care Ltd.
I) Excellent Care Ltd responsibilities
In respect of the services, the Excellent Care Ltd shall ensure that the staffs have relevant qualification,
authorization, training, experience, competency, DBS check and ability for the assignment for which he/
she is supplied. Excellent Care Ltd holds the complete responsibility for monitoring and supervising the
standard of performance of staff and all the staff are always accountable to Excellent Care Ltd. Excellent
Care Ltd may use candidates from other provides to cover the requirements of the service users. The
agency keeps and maintains all the documents in its office and we will provide you with any documents
upon your requests. It is the responsibility of the service user to ensure the identity of the staff while they
report for their duty.
In these Terms of Business the following definitions apply:
“Assignment” means the period during which the Nurse/Care Assistant is engaged to render services to the Client;
“Client” means the person, firm or corporate body together with any subsidiary or associated company as defined
by the Companies Act 1985 requiring the services of the Nurse/Care Assistant.
“Engages/Engagement/Engagement” means any engagement, employment or use of the Nurse/Care Assistant
directly by the Client or any third party or through any other employment business on a permanent or temporary
basis, whether under a contract of service or for services; an agency, license, franchise or partnership arrangement
or any other engagement; directly or through a limited company of which the Nurse/Care Assistant is an officer or
“Introduction” means (i) the Client’s interview of a Nurse/Care Assistant in person or by telephone, following the
Client’s instruction to the Employment Business to supply or search for a Nurse/Care Assistant; or (ii) the passing to
the Client of a curriculum vitae or other information which identifies the Nurse/Care Assistant and which leads to
an Engagement of the Nurse/Care Assistant
“Introduction Fee” means the fee payable in accordance with clause H above and Regulation 10 of the Conduct of
Employment Agencies and Employment Businesses Regulations 2003.
“Nurse” means the nurse, midwife or health visitor, currently registered with the Nursing and Midwifery Council
(‘NMC’), introduced by the Employment Business to render services to the Client.
“Care Assistant” means the Care Assistant, introduced by the Employment Business to render services to the Client.
“Employment Business” means Excellent Care Ltd, (H/O) Bronzeoak House, Stafford Road, Caterham, CR3
6JG (hereafter referred to as Excellent Care Ltd)
